for leading the tax due diligence process, integration, purchase accounting, and preparing tax return filings (e. g. Form 8594). - In addition, this position will be responsible working on tax planning/special projects as requested which may include items such as legal entity restructuring/rationalization, analyzing the tax impact of proposed business changes and analyzing proposed tax law changes.

ESSENTIAL FUNCTIONS Lead the Tax M&A due diligence process (which may include consulting with 3rd party advisors where appropriate). - This includes reviewing/commenting on the purchase agreement and negotiating the tax allocation methodology with the Seller. Develop recommendations for dealing with any identified tax risk during the due diligence process. Lead the Tax Purchase Accounting effort for closed transactions. Lead the preparation of the Tax Purchase Price Allocation and ensure it is completed on a timely basis (including the preparation of appropriate tax forms and supplements) Work on Tax Planning/Special Projects as requested Develop processes and enhance controls related to the Tax M&A process from DD to completion of integration.

Train tax staff on all aspects of the tax M&A process. EDUCATION AND CERTIFICATIONS Minimum Degree: - Bachelor's Degree, Course of Study: Accounting (preferred) Special Certification or Licensing: - CPA, LLM or MST preferred EXPERIENCE Minimum experience: minimum of 10+ years of progressive tax experience (with 5+ years of international tax experience) Required Industry Experience (Construction, Insulation, Trades, etc.

): Experience in a large multinational corporate tax department and/or Big Four accounting firm preferred Legal Age Requirements: - At least 18 years of age REQUIRED SKILLS Strong background in all areas of tax (direct and indirect) Excellent project management and problem-solving skills Ability to model tax impacts of planning and law changes Strong attention to detail, demonstrated integrity and professionalism. Excellent communication skills, both written and verbal.

TRAVEL REQUIREMENTSType of Travel Required: - - Primarily US and Canada - - - - - - - - - -Amount of Travel Required: - PHYSICAL REQUIREMENTSWork is performed in a typical office environment and may required standing, bending, lifting of boxes or packages under 10 lbs. and sitting for long periods of time. Work requires regularly inputting/retrieving words or data into or from an automated/computer system.
